End-User License Agreement

This End-User License Agreement ("Agreement") is a legal agreement between you ("User") and ML Financial Group ("Company") for the use of Project Green, an AI-powered financial intelligence platform ("Service").

By connecting your QuickBooks Online account or using the Service, you agree to be bound by the terms of this Agreement.

1. License Grant

Company grants you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes, subject to the terms of this Agreement.

2. Description of Service

Project Green connects to your QuickBooks Online account (and other supported accounting platforms) to provide AI-powered financial analysis. The Service allows you to ask natural language questions about your financial data and receive insights, reports, and recommendations.

3. Your Data

You retain all ownership rights to your financial data. By using the Service, you grant Company a limited license to access, process, and analyze your accounting data solely for the purpose of providing the Service. Company will not use your data for any other purpose. See our Privacy Policy for details.

4. Acceptable Use

You agree to:

• Use the Service only for lawful business purposes
• Keep your account credentials confidential
• Not attempt to reverse engineer, decompile, or extract source code from the Service
• Not use the Service to process data you do not have authorization to access

5. Disclaimer of Warranties

The Service is provided "as is" without warranties of any kind. While we strive for accuracy, AI-generated financial analysis should be verified by a qualified professional before making business decisions. The Service does not constitute financial, tax, or legal advice.

6. Limitation of Liability

To the maximum extent permitted by law, Company shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including but not limited to financial losses based on Service outputs.

7. Termination

Either party may terminate this Agreement at any time. You may disconnect your QuickBooks account and stop using the Service. Company may suspend or terminate your access if you violate this Agreement. Upon termination, Company will delete your synced data in accordance with the Privacy Policy.

8. Changes to This Agreement

Company may update this Agreement from time to time. Continued use of the Service after changes constitutes acceptance of the updated terms.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.
